TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE FEDERAL AND STATE LAW, IN NO EVENT SHALL PIZZA LUCE, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, PARTNERS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • LOSS OF PROFITS, REVENUE, OR ANTICIPATED SAVINGS;
  • LOSS OF DATA OR PERSONAL INFORMATION;
  • LOSS OF GOODWILL OR BUSINESS REPUTATION;
  • COST OF PROCURING SUBSTITUTE GOODS OR SERVICES;
  • ANY DAMAGES ARISING FROM YOUR RELIANCE ON INFORMATION OBTAINED THROUGH THE SITE;
  • ANY DAMAGES ARISING FROM UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR DATA OR TRANSMISSIONS.

IN ANY CASE, THE TOTAL AGGREGATE LIABILITY OF PIZZA LUCE TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SITE AND SERVICES, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE, SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT PAID BY YOU TO PIZZA LUCE IN THE SIX (6) MONTHS IMMEDIATELY PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00 USD).

THE LIMITATIONS OF LIABILITY SET FORTH ABOVE ARE FUNDAMENTAL ELEMENTS OF THE BASIS OF THE BARGAIN BETWEEN PIZZA LUCE AND YOU, AND PIZZA LUCE WOULD NOT BE ABLE TO PROVIDE THE SERVICES WITHOUT SUCH LIMITATIONS. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU IN FULL. IN SUCH CASES, OUR LIABILITY IS LIMITED TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW.


11. Indemnification

You agree to defend, indemnify, and hold harmless Pizza Luce, its parent company, subsidiaries, affiliates, officers, directors, employees, contractors, agents, licensors, suppliers, and successors from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

You will not settle any claim without Pizza Luce's prior written consent.


12. Food Safety and Regulatory Compliance

Pizza Luce operates in compliance with applicable federal and state food safety laws and regulations, including those administered by the United States Food and Drug Administration (FDA) and applicable state and local health departments. We are committed to maintaining the highest standards of food safety and hygiene in all our operations.

Customers are responsible for handling and consuming food products safely after delivery or pick-up. We recommend consuming food products promptly and following any storage or handling instructions provided. Pizza Luce is not liable for any foodborne illness or other adverse health effects resulting from improper handling, storage, or consumption of food products after they have left our control.

13. Governing Law and Jurisdiction

  • The Digital Millennium Copyright Act (DMCA), 17 U.S.C. § 512, governing copyright and online content;
  • The Computer Fraud and Abuse Act (CFAA), 18 U.S.C. § 1030, governing unauthorized computer access;
  • All applicable FDA regulations relating to food labeling, safety, and allergen disclosure under the Food Safety Modernization Act (FSMA).

14. Dispute Resolution and Arbitration

14.1 Informal Resolution

Before initiating any formal dispute resolution process, you agree to first contact Pizza Luce at [email protected] and provide a written description of your complaint or dispute. We will make a good-faith effort to resolve the dispute informally within thirty (30) calendar days of receiving your written notice. If the dispute is not resolved within that period, either party may proceed with the formal dispute resolution process described below.

14.2 Binding Arbitration

EXCEPT AS PROVIDED BELOW, ANY DISPUTE, CLAIM, OR CONTROVERSY ARISING OUT OF OR RELATING TO THESE TERMS, OR TO THE BREACH, TERMINATION, ENFORCEMENT, INTERPRETATION, OR VALIDITY THEREOF, OR TO YOUR USE OF THE SITE OR SERVICES, SHALL BE RESOLVED BY FINAL AND BINDING ARBITRATION ADMINISTERED BY THE AMERICAN ARBITRATION ASSOCIATION (AAA) IN ACCORDANCE WITH ITS CONSUMER ARBITRATION RULES, WHICH ARE AVAILABLE AT www.adr.org.

The arbitration shall be conducted in English, and the arbitrator's decision shall be final and binding on the parties. Judgment on the arbitration award may be entered in any court of competent jurisdiction. The arbitrator shall have the authority to award the same remedies that a court of competent jurisdiction could award, except that the arbitrator may not award declaratory or injunctive relief except to the extent necessary to grant individual relief to the claimant.

The filing fees and arbitrator's compensation shall be shared equally by the parties, subject to the AAA's Consumer Arbitration Rules regarding fee waivers for low-income claimants.

14.3 Class Action Waiver

YOU AND PIZZA LUCE EACH AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS, WHETHER IN ARBITRATION OR IN COURT, WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. IF FOR ANY REASON A CLAIM PROCEEDS IN COURT RATHER THAN IN ARBITRATION, YOU WAIVE ANY RIGHT TO A JURY TRIAL AND ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.

14.4 Exceptions to Arbitration

Notwithstanding the foregoing, either party may seek emergency injunctive or other equitable relief from a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights or confidential information. Nothing in this Section shall limit either party's right to seek relief in small claims court for disputes within that court's jurisdiction.


15. Term and Termination

These Terms of Service are effective as of the date you first access or use the Site and shall remain in full force and effect until terminated by either party.

Pizza Luce reserves the right, in its sole discretion, to suspend or terminate your access to the Site and services, with or without cause and with or without notice, including but not limited to situations where:

  • We reasonably believe that your conduct may cause harm to other users, third parties, or to Pizza Luce;
  • We decide to discontinue or materially modify the Site or any of our services.

19. Severability

If any provision of these Terms of Service is found by a court or arbitrator of competent jurisdiction to be invalid, illegal, unenforceable, or contrary to public policy under applicable law, that provision shall be modified to the minimum extent necessary to make it enforceable, or if modification is not possible, it shall be severed from these Terms. The invalidity or unenforceability of any single provision shall not affect the validity and enforceability of the remaining provisions of these Terms, which shall continue in full force and effect.
